Terms of Service

The agreement between you and LOB Labs LLC for access to and use of DeptOps.

Last updated: September 7, 2026

These Terms of Service ("Terms") govern access to and use of DeptOps, a product of LOB Labs LLC ("LOB Labs," "we," "us," or "our"), a Minnesota limited liability company with its principal place of business in Scott County, Minnesota. By creating an account, inviting users, or otherwise using DeptOps, you agree to these Terms on behalf of yourself and, if applicable, the organization you represent.

1. The service

DeptOps is a multi-tenant software service for department operations. It helps organizations define ownership, track work, surface items that need attention, manage people and departments, collect form submissions, and review operational reports. Features available to your organization depend on the plan you select and any limits described on our pricing page or in your account settings.

2. Eligibility and accounts

  • You must provide accurate registration information and keep it current.
  • You are responsible for safeguarding credentials used to access your account, including any multi-factor authentication settings you enable.
  • If you create or administer an organization workspace, you represent that you have authority to bind that organization to these Terms.
  • Organization administrators are responsible for inviting users, assigning roles, and managing access within their workspace.

3. Customer content

You and your organization retain ownership of the content you submit to DeptOps, including people records, responsibilities, work items, forms, submissions, notes, and related operational data ("Customer Content"). You grant LOB Labs a limited license to host, process, transmit, display, and back up Customer Content solely as needed to provide, maintain, secure, and improve the service, and to comply with law.

You are responsible for Customer Content and for ensuring you have the rights and permissions needed to submit it. Do not upload unlawful, harmful, or infringing material, or material you are not authorized to share.

4. Acceptable use

You agree not to:

  • Misuse the service, attempt unauthorized access, or interfere with service integrity, availability, or security.
  • Probe, scan, or test the vulnerability of DeptOps except with our prior written permission.
  • Use DeptOps to send spam, malware, or other abusive communications.
  • Resell, sublicense, or provide the service to third parties except as expressly allowed under your plan.
  • Reverse engineer or attempt to extract source code from the service except where applicable law prohibits this restriction.
  • Use the service in violation of applicable law or the rights of others.

5. Plans, billing, and taxes

DeptOps offers free and paid organization plans with user and department capacity limits. Paid subscriptions are billed through our payment processor (currently Stripe). Prices, plan features, and capacity limits may change; material changes to paid plans will be communicated in a reasonable manner.

  • Unless stated otherwise, fees are charged in advance for the applicable billing period.
  • You authorize us and our payment processor to charge the payment method on file for plan fees and applicable taxes.
  • If a payment fails, we may retry billing, notify administrators, and limit new invites, departments, or other capacity-gated actions until the account is brought current.
  • Downgrades or cancellations generally take effect according to the billing provider and plan rules shown in your organization settings. Existing Customer Content is not automatically deleted solely because a subscription ends, but access and capacity may be reduced to the then-current free or lower plan limits.
  • Except where required by law, fees are non-refundable once a billing period has begun.

6. Free plan and evaluation use

The free plan is provided so teams can evaluate and use DeptOps within stated limits. We may modify free-plan features or limits with notice. Free use remains subject to these Terms and our Acceptable Use rules.

7. Intellectual property

DeptOps, including its software, interfaces, documentation, branding, and related materials, is owned by LOB Labs or its licensors. These Terms do not transfer ownership of our intellectual property to you. Feedback you provide may be used by LOB Labs without obligation to you.

8. Third-party services

DeptOps may rely on third-party infrastructure and services, such as hosting providers and payment processors. Your use of those services may be subject to their terms. We are not responsible for third-party services we do not control, except to the extent required by applicable law.

9. Privacy

Our collection and use of personal information is described in the DeptOps Privacy Policy. By using the service, you acknowledge that policy.

10. Availability and changes

We aim to keep DeptOps reliable, but we do not guarantee uninterrupted or error-free operation. We may modify, suspend, or discontinue features with reasonable notice when practical. We may perform maintenance that temporarily affects availability.

11. Suspension and termination

You may stop using DeptOps at any time. Organization administrators may close their organization from Settings → Account after security verification, or by contacting us. We may suspend or terminate access if you materially breach these Terms, create risk to the service or other customers, fail to pay fees when due, or if required by law. Upon termination, your right to access the service ends. After account closure is completed, we delete or anonymize Customer Content from live systems according to our deletion procedures. Deleted data may remain in backups until those backups expire under our backup retention schedule.

12. Disclaimers

Except as expressly stated in these Terms, DeptOps is provided "as is" and "as available." To the maximum extent permitted by law, LOB Labs disclaims all warranties, whether express, implied, or statutory, including merchantability, fitness for a particular purpose, and non-infringement. DeptOps is an operations tool; it does not replace professional legal, financial, safety, or compliance advice.

13. Limitation of liability

To the maximum extent permitted by law, LOB Labs will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, goodwill, or data, arising out of or related to your use of DeptOps. Our aggregate liability for claims relating to the service will not exceed the greater of (a) the amounts you paid to LOB Labs for DeptOps in the twelve (12) months before the claim arose, or (b) one hundred U.S. dollars (USD $100) if you are on a free plan. Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the fullest extent permitted by law.

14. Indemnification

You will defend and indemnify LOB Labs against claims, damages, and expenses arising from Customer Content, your misuse of the service, or your violation of these Terms or applicable law, except to the extent caused by our willful misconduct.

15. Changes to these Terms

We may update these Terms from time to time. The "Last updated" date at the top of this page will change when we do. For material changes, we will provide additional notice when practical (for example, by email to organization administrators or an in-product notice). Continued use of DeptOps after an update becomes effective constitutes acceptance of the revised Terms, except where applicable law requires additional consent.

16. Governing law and venue

These Terms, and any dispute arising out of or relating to them or to DeptOps, are governed by the laws of the State of Minnesota, without regard to its conflict of law rules. Exclusive venue for any lawsuit or other court proceeding is the state or federal courts sitting in Scott County, Minnesota, and you consent to personal jurisdiction in those courts. If applicable law does not allow this venue choice for a particular claim, that claim may be brought only in a court of competent jurisdiction as required by that law.

17. General

  • If any provision of these Terms is held unenforceable, the remaining provisions remain in full force and effect.
  • These Terms, together with the Privacy Policy, Cookies Policy, and any plan or billing terms shown in your organization settings, are the entire agreement between you and LOB Labs regarding DeptOps and supersede prior or contemporaneous agreements on that subject.
  • You may not assign these Terms without our prior written consent. LOB Labs may assign these Terms in connection with a merger, acquisition, corporate reorganization, or sale of assets.
  • Our failure to enforce a provision is not a waiver of our right to enforce it later.
  • Headings are for convenience only and do not affect interpretation.
